Terms of Use
These Terms of Use ("Terms") are a legal agreement between you and The Extraordinary Lab Inc., doing business as TEOL Capital ("TEOL Capital," "we," "us," or "our"). They govern your access to and use of teolcapital.com and its pages, diagnostic tools, calculators, downloadable materials, articles, newsletters, and other content we make available online (together, the "Site").
Please read these Terms carefully. Section 16 disclaims warranties, Section 17 limits our liability, and Section 19 contains a waiver of jury trial and of class and collective actions.
1. Acceptance
By accessing or using the Site, or by checking a box or clicking a button that references these Terms, you agree to these Terms and to our Privacy Policy, Important Disclosures, and Diagnostic Tools Terms, each of which is incorporated into these Terms. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization. If you do not agree, do not use the Site.
2. Business Use Only
The Site is intended for business owners, executives, investors, and professionals acting in a business or professional capacity. It is not offered for personal, family, or household purposes. By using the Site, you represent that you are at least 18 years old and are using it in a business or professional capacity.
3. No Advisory or Fiduciary Relationship
Using the Site or our tools, contacting us, or speaking with us in a discovery or introductory conversation does not create an advisory, fiduciary, agency, partnership, employment, or other professional relationship between you and TEOL Capital. Such a relationship exists only under a written engagement letter signed by TEOL Capital and by you, and then only on its terms and for its stated scope. Proposals, estimates, and scoping discussions are not commitments until an engagement letter is signed. If an engagement letter conflicts with these Terms, the engagement letter controls for that engagement.
4. General Information Only; Your Own Diligence
All content on the Site, including articles, insights, frameworks, methodologies, sector perspectives, situations, glossaries, examples, and tool outputs ("Content"), is general information provided for educational purposes. Content is not tailored to your circumstances and is not:
- investment, securities, or financial advice, or a recommendation to buy, sell, or hold any security or to pursue or refrain from any transaction;
- an offer to sell, or a solicitation of an offer to buy, any security, or an invitation to participate in any transaction;
- legal, tax, accounting, audit, actuarial, appraisal, or regulatory advice; or
- a valuation, appraisal, fairness opinion, solvency opinion, quality of earnings report, audit, review, or any other opinion or assurance.
You should not act, or refrain from acting, on the basis of any Content without first obtaining advice from qualified professionals who have reviewed your specific facts. You are solely responsible for conducting your own independent investigation, diligence, and analysis, and for every decision you make. Any reliance you place on Content is at your own risk.
5. Diagnostic Tools
Your use of our diagnostic tools and calculators is also governed by the Diagnostic Tools Terms. Tools are calibrated to general market data and TEOL Capital's frameworks. Tool outputs are automated, indicative estimates based on your inputs and general assumptions, and they can contain errors. They may be inaccurate or incomplete, they are for your internal use only, and they may not be relied upon by you or any third party as a basis for any decision.
6. Descriptive and Marketing Terms
Words used on the Site to describe our people and services, including "partner," "principal," "embedded," "leadership," "operator," "CFO," "finance office," "institutional," "defensible," "proprietary," and "standard," are descriptive terms. They do not mean that TEOL Capital or any of its personnel serves as an officer, director, employee, fiduciary, or agent of any client, holds signing or binding authority for any client, or guarantees any result. "Partner" and "principal" are professional titles; TEOL Capital is a corporation, not a partnership. Our role, authority, and responsibilities in any engagement are defined solely by the engagement letter.
7. Our People and Their Experience
Services described on the Site may be performed by TEOL Capital employees, contractors, and independent professionals engaged by TEOL Capital. Biographies and descriptions of individual experience may include work the individual performed before working with TEOL Capital or at other firms. That experience belongs to the individual and is not a representation of TEOL Capital's own track record.
8. Examples and Past Results
Examples, situations, and descriptions of engagements on the Site are illustrative. They may be anonymized, combined, or altered to protect confidentiality. Past results do not guarantee or predict future results, and every business and transaction is different. Statistics and ranges described as observed by TEOL Capital reflect the experience of its personnel across transactions they have seen, are not audited data, and may not be representative.
9. Forward-Looking Statements
Content that discusses expected outcomes, improvements, value impact, market conditions, or trends reflects opinions and estimates as of the date it was published. Such statements are subject to risks and uncertainties, and actual results may differ materially. We have no obligation to update them.
10. Accuracy of Content
We work to keep Content accurate and current, but it may contain errors or omissions or become outdated, and it speaks only as of its publication date. Content may refer to or rely on third-party information that we have not independently verified. We may change, update, or remove Content at any time without notice.
11. Information You Submit
You represent that you have the right to submit any information you provide through the Site, and that doing so does not breach any confidentiality obligation, agreement, or law. Do not submit material nonpublic information about any public company, confidential information belonging to a third party that you are not authorized to share, or the sensitive information listed in our Privacy Policy.
We handle information you submit in accordance with our Privacy Policy. No confidentiality obligation beyond that Policy arises unless TEOL Capital signs a written nondisclosure agreement or engagement letter with you.
If you send us suggestions or feedback about the Site or our services, we may use them without restriction or compensation to you.
12. Intellectual Property
The Site and all Content, including text, graphics, design, software, tools, scoring models, methodologies, and frameworks, are owned by TEOL Capital or its licensors and are protected by copyright, trademark, trade secret, and other laws. TEOL CAPITAL, TEOL, THE TEOL STANDARD, and the names of our frameworks, including the Institutional Readiness Framework, Financial Truth Ladder, Reporting Under Scrutiny Model, Founder Dependency Index, Cash Visibility Maturity Model, HoldCo Finance Architecture, and Capital Readiness Scorecard, are trademarks of The Extraordinary Lab Inc.
We grant you a limited, revocable, non-exclusive, non-transferable license to view, download, and print Content for your own internal business use, provided you keep all copyright and other notices intact. You may quote brief excerpts for commentary or news reporting with attribution and a link to the Site. Otherwise, you may not, without our prior written consent:
- copy, reproduce, distribute, republish, publicly display, sell, or create derivative works from Content;
- use our frameworks, methodologies, tools, or Content to provide services to others or to build a competing product;
- frame or mirror any part of the Site;
- reverse engineer, decompile, or attempt to extract the logic, models, or data underlying any tool; or
- use Content or tool outputs to train, fine-tune, or develop any artificial intelligence or machine learning model, or to build any dataset.
13. Acceptable Use
You agree not to:
- scrape, crawl, or use automated means to access or extract data from the Site, other than general-purpose search engines complying with our robots.txt file;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Site or its systems, or probe or test their vulnerability;
- submit false information or impersonate any person or entity, including TEOL Capital or its personnel;
- upload malicious code;
- use the Site in violation of any law, including securities laws; or
- use the Site to collect information about TEOL Capital personnel for unsolicited commercial purposes.
14. Third-Party Content, Links, and Data
The Site may reference or link to third-party websites, services, publications, and data. References to third-party names, publications, or data sources do not imply endorsement by or affiliation with those parties. We are not responsible for third-party content, and your dealings with third parties are solely between you and them.
15. Communications
By giving us your contact details, you agree that we may contact you about your inquiry and our services, subject to your right to opt out as described in our Privacy Policy. You agree that notices and other communications we provide electronically satisfy any legal requirement that they be in writing.
16. Disclaimer of Warranties
THE SITE, ALL CONTENT, AND ALL TOOLS AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TEOL CAPITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RESULTS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE CORRECT OR SUITABLE FOR ANY PURPOSE. NO ADVICE OR INFORMATION OBTAINED FROM THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TEOL CAPITAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS (THE "TEOL PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, TRANSACTION VALUE, VALUATION, FINANCING, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SITE, ANY CONTENT OR TOOL OUTPUT, OR ANY DECISION MADE IN RELIANCE ON THEM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TEOL PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, CONTENT, OR TOOLS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
THESE LIMITATIONS APPLY TO EVERY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, NEGLIGENT MISREPRESENTATION, STRICT LIABILITY, AND STATUTE. They do not limit liability that cannot be limited by law, and they do not govern services provided under a signed engagement letter, which has its own terms.
18. Indemnification
You will defend, indemnify, and hold harmless the TEOL Parties from and against all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Site, Content, or tools; (b) your breach of these Terms; (c) your provision of any Content or tool output to any third party, or any third party's reliance on it; (d) information you submit; or (e) your violation of any law or the rights of any third party.
19. Governing Law, Venue, and Dispute Terms
These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. The state and federal courts located in the State of New Jersey have exclusive jurisdiction over any such dispute, and you consent to their personal jurisdiction and venue. TEOL Capital may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or the Site.
EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL in any dispute arising out of or relating to these Terms or the Site. To the fullest extent permitted by law, any claim must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
20. Time Limit for Claims
To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Site must be filed within one year after the claim arose, or it is permanently barred.
21. Sanctions and Export
You represent that you are not located in a country subject to comprehensive U.S. sanctions and are not on any U.S. government list of restricted parties.
22. Changes to These Terms
We may modify these Terms at any time by posting the revised Terms on the Site with a new "Last updated" date. Changes take effect when posted and apply to your use of the Site after that date. They do not apply to disputes that arose before the change.
23. Suspension and Termination
We may suspend or end your access to all or part of the Site at any time, for any reason, without notice. Sections 3 through 12 and 14 through 24 survive any termination.
24. General
These Terms, together with the documents they incorporate, are the entire agreement between you and TEOL Capital about the Site. They do not replace any signed engagement letter or nondisclosure agreement. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them without restriction. The TEOL Parties are intended beneficiaries of Sections 16 through 18. The word "including" means "including without limitation." Headings are for convenience only.

Privacy Policy
The Extraordinary Lab Inc., doing business as TEOL Capital ("TEOL Capital," "we," "us," or "our"), respects your privacy. This Privacy Policy explains how we collect, use, disclose, and protect personal information when you visit teolcapital.com (the "Site"), use our diagnostic tools, communicate with us, take part in a call or meeting with us, apply to work with us, or otherwise interact with us in connection with our business (together, the "Services").
This Policy does not govern information we process for a client under a signed engagement letter. That information is governed by the engagement letter and any related confidentiality or data protection agreement.
1. Information We Collect
1.1 Information you provide
- Contact and professional details: name, email address, phone number, company, title or role, and business location.
- Business information: industry, approximate revenue, the situation you describe, timelines, and other details you share through forms, email, or calls.
- Diagnostic tool data: the answers and figures you enter into our tools, and the scores, ranges, and reports the tools generate.
- Communications: the content of emails, messages, scheduling requests, and calls or meetings, including recordings and transcripts as described in Section 1.3.
- Applications: if you apply for a role or contractor engagement, your resume and the information you provide with it.
1.2 Information collected automatically
- Device and usage data: IP address, browser type, device type, operating system, pages viewed, referring pages, dates and times of visits, and approximate location derived from your IP address.
- Cookies and similar technologies: described in Section 6.
- Email interaction data: where our email tools support it, whether our emails were delivered, opened, or clicked.
1.3 Call recordings and transcripts
We may record and transcribe calls and video meetings for accuracy, record keeping, and follow-up. Where the law requires it, we notify participants or obtain their consent before recording.
1.4 Information from other sources
We obtain business contact information, such as names, titles, company names, and business email addresses, from publicly available sources including company websites, professional networking sites, and press coverage, and from commercial providers of business contact data. We also receive information from clients, referral sources, and professional contacts who introduce you to us. We use this information to identify and contact businesses and professionals who may be interested in our services.
1.5 Information we ask you not to send
Please do not submit Social Security numbers, government identification numbers, bank or payment card numbers, health information, or other sensitive personal information through the Site, our tools, or unsolicited email. If you share financial or other confidential business information during an engagement, it is handled under the terms of that engagement.
2. How We Use Information
We use personal information to:
- respond to inquiries and schedule and conduct conversations;
- provide our diagnostic tools and deliver their outputs and reports;
- evaluate, propose, and perform engagements;
- send business communications about our services, insights, and events, subject to your right to opt out;
- identify and contact businesses and professionals who may benefit from our services;
- operate, secure, maintain, and improve the Site and Services, including analytics and troubleshooting;
- develop and refine our methodologies, benchmarks, and tools using aggregated or de-identified information;
- evaluate applicants for roles and contractor engagements;
- comply with law, respond to lawful requests, enforce our terms, and establish, exercise, or defend legal claims; and
- carry out any other purpose we describe to you when we collect the information, for which you give consent, or that is otherwise permitted by law.
3. How We Disclose Information
We do not sell personal information for money. We may disclose personal information as follows:
- Service providers that perform services for us, such as website hosting, analytics, email delivery, scheduling, customer relationship management, business contact verification, video conferencing, transcription, cloud storage, AI-enabled software, billing, and IT and security. Their handling of information is governed by their agreements with us and their own terms.
- Professional collaborators, meaning independent professionals and subcontractors who work with us on engagements or proposals, under confidentiality obligations.
- Professional advisers, such as lawyers, accountants, auditors, and insurers.
- Platforms you use to work with us. If you engage us through a third-party marketplace or platform, that platform receives information under its own terms and privacy policy.
- Business transfers, in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction, including during due diligence.
- Legal and safety, when we believe disclosure is required by law, subpoena, court order, or a regulator, or is necessary to protect the rights, property, or safety of TEOL Capital, our clients, or others.
- With your consent or at your direction, or as otherwise permitted by law.
We may also disclose aggregated or de-identified information that cannot reasonably be used to identify you.
4. Software and AI-Enabled Tools
We use software, including AI-enabled tools, to transcribe calls, organize and draft materials, analyze information, and run our diagnostic tools. Diagnostic tool outputs are generated automatically from your inputs. They are not used to make decisions that produce legal or similarly significant effects on any individual.
5. Marketing Communications and Your Choices
You can stop receiving marketing email from us at any time by using the unsubscribe link in the email, by replying to ask us to stop, or by writing to admin@teolcapital.com. We process opt-out requests within the time required by law. We keep a record of your email address on a suppression list so that we can honor your request. After you opt out, we may still send messages related to a conversation you requested or an active engagement.
We send text messages and place calls only as permitted by applicable law.
6. Cookies and Similar Technologies
We and the third parties we work with use cookies, pixels, tags, and similar technologies to operate and secure the Site, remember preferences, understand how visitors use the Site and our emails, support embedded features, and support our marketing and advertising. Where required by law, we provide notice and choices about these technologies.
Third-party services embedded in or connected to the Site may set their own cookies and collect information under their own privacy policies. You can block or delete cookies through your browser settings. Some parts of the Site may not work properly without them.
Where required by applicable law, we honor recognized opt-out preference signals. Otherwise, the Site does not respond to Do Not Track signals.
7. Data Retention
We keep personal information for as long as reasonably necessary for the purposes described in this Policy, including to maintain business relationships, meet legal, tax, accounting, and professional record-keeping requirements, resolve disputes, and enforce our agreements. We set retention periods based on the type of information, why we hold it, and our legal obligations. When information is no longer needed, we delete it or de-identify it.
8. Security
We use reasonable administrative, technical, and physical safeguards designed to protect personal information, appropriate to its nature and sensitivity. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. If you believe your information has been compromised, contact us at admin@teolcapital.com. If a security incident affects your personal information, we will notify you as required by applicable law.
9. Your Rights and Choices
Depending on where you live, you may have the right to ask us to:
- confirm whether we hold personal information about you and give you access to it;
- correct inaccurate information;
- delete your information; and
- stop sending you marketing communications.
We will honor the rights that applicable law gives you.
To make a request, email admin@teolcapital.com with the subject line "Privacy Request." We will need to verify your identity before acting on certain requests, and we may ask for information to do so. An authorized agent may submit a request on your behalf with written proof of authority. We respond within the time required by applicable law.
We may decline or limit a request where the law permits, for example where we must keep information to meet legal obligations, complete an engagement, or establish or defend legal claims. Where applicable law provides a right to appeal, you may appeal by replying to our response. We will not discriminate against you for exercising your privacy rights.
10. Individuals Outside the United States
TEOL Capital is based in the United States, and our Services are directed to businesses in the United States. Personal information may be processed in the United States and in other countries where we, our service providers, or our professional collaborators operate. Those countries may have data protection laws that differ from the laws where you live.
If you are in the European Economic Area, the United Kingdom, or Switzerland, we process your personal information on the following legal bases: to take steps at your request before entering into a contract or to perform a contract; for our legitimate interests in operating our business, responding to inquiries, communicating with business contacts, and securing the Site, where those interests are not overridden by your rights; to comply with legal obligations; and with your consent where we ask for it. You may have the right to access, correct, erase, restrict, or object to processing of your personal information, to data portability, to withdraw consent at any time, and to lodge a complaint with your local supervisory authority. You have the right to object at any time to the use of your information for direct marketing. Where the law requires it, we take steps designed to ensure that transfers of your information outside your region are subject to appropriate safeguards.
11. Children
The Site and Services are intended for businesses and professionals and are not directed to individuals under 18. We do not knowingly collect personal information from anyone under 18. If we learn that we have, we will delete it.
12. Third-Party Sites and Services
The Site may link to or embed third-party websites and services, such as professional networking sites and scheduling tools. Their privacy practices are governed by their own policies, not this one.
13. Changes to This Policy
We may update this Policy from time to time. We will post the updated version on this page and change the "Last updated" date. If we make material changes, we will provide additional notice on the Site or by email where appropriate. Changes apply to information collected after the updated Policy is posted.

Important Disclosures
TEOL Capital is a trade name of The Extraordinary Lab Inc., a New Jersey corporation ("TEOL Capital," "we," or "us"). These disclosures describe what TEOL Capital does, what it does not do, and how you should read the content on this website. They form part of our Terms of Use.
1. Nature of Our Services
TEOL Capital provides finance, operational, and transaction advisory services to operating businesses, acquirers, sellers, and investment firms. Our services include finance function design and operation support, financial reporting and forecasting, governance and controls advisory, transaction readiness, financial diligence support, analytical and modeling support, and post-close finance integration. The scope of every engagement is defined in a written engagement letter.
2. Not a Broker-Dealer
TEOL Capital is not registered as a broker-dealer with the U.S. Securities and Exchange Commission, is not a member of FINRA, and is not registered as a broker-dealer in any state. TEOL Capital does not:
- solicit, identify, or contact potential buyers, sellers, acquisition targets, or investors on behalf of clients;
- introduce parties to a transaction for compensation;
- negotiate the price or terms of any securities transaction on behalf of any party;
- structure, offer, place, or sell securities, or raise capital for any company or fund;
- receive compensation that depends on whether a transaction closes, on the size of a transaction, or on the amount of capital raised; or
- hold or handle client funds or securities.
TEOL Capital does not receive referral fees or any other compensation from broker-dealers, investment banks, lenders, investors, or other parties in connection with a client's transaction.
3. Not an Investment Adviser
TEOL Capital is not registered as an investment adviser with the SEC or any state. We do not recommend the purchase or sale of any security, manage assets, or exercise discretion over any account. When we work with private equity firms, fund managers, family offices, or other investment firms, our services are operational, analytical, and back-office in nature. Those clients retain sole authority over their investment decisions, and we do not advise their investors.
4. Fees
TEOL Capital is compensated only through fixed fees, retainers, and hourly fees agreed in an engagement letter. We do not accept success fees, transaction-based compensation, or compensation that varies with the outcome of any transaction or capital raise.
5. Working With Licensed Intermediaries
Where a client's transaction requires a broker-dealer, investment bank, placement agent, attorney, accountant, or other licensed professional, the client engages that party directly and separately. TEOL Capital may coordinate the client's finance and diligence workstreams with those parties as the client's finance advisor. We do not perform, supervise, or share in their regulated activities or their fees.
6. Not an Accounting, Law, or Tax Firm
TEOL Capital is not a licensed certified public accounting firm and does not perform audits, reviews, compilations, examinations, or any other attest services. Quality of earnings analyses, financial diligence, and similar work are consulting services performed under an agreed scope. They are not audits and provide no assurance or opinion on financial statements. TEOL Capital is not a law firm and does not provide legal or tax advice. Clients should obtain legal, tax, and accounting advice from their own qualified professionals.
7. Valuation Work
Valuation analyses we prepare are for the client's internal planning and decision support. They are not appraisals prepared under the Uniform Standards of Professional Appraisal Practice, fairness opinions, or solvency opinions. Unless an engagement letter expressly provides otherwise, we do not prepare valuations for tax reporting (including Section 409A, estate, or gift tax purposes), financial statement reporting, litigation, or ERISA purposes. TEOL Capital does not act as the independent appraiser or financial adviser to the trustee of any employee stock ownership plan.
8. Our Role Inside Client Businesses
When TEOL Capital personnel work inside a client's business, including in embedded, interim, or fractional roles, they do so as independent contractors under an engagement letter. Role titles such as interim CFO or controller describe the work performed. They do not make TEOL Capital or its personnel officers, directors, or employees of the client. TEOL Capital personnel do not hold signing, banking, or binding authority for any client and do not take custody of client funds. The client's management and governing body remain responsible for the client's financial statements, internal controls, tax and regulatory filings, and all business decisions.
9. Conflicts of Interest
TEOL Capital and its personnel may provide services to, hold roles with, or have financial interests in other businesses, including investors, acquirers, and holding companies that may be counterparties to, competitors of, or otherwise interested in the businesses of our clients. We seek to identify actual and potential conflicts before accepting an engagement and to address them with the affected client, including through disclosure and consent where appropriate.
10. Diagnostic Tools
Our diagnostic tools and calculators are automated self-assessment instruments. They are calibrated to general market data and TEOL Capital's frameworks. Their outputs are indicative estimates based on user inputs and general assumptions, and they can contain errors. Diagnostic Tools Terms
These Diagnostic Tools Terms apply to every diagnostic tool, index, calculator, assessment, and report made available on teolcapital.com, including the Institutional Readiness Index, Buy-Side Readiness Index, Sale Readiness Index, EBITDA Quality Assessment, Valuation Calculator, QofE Pre-Read, Capital Structure Stress Test, Lender Readiness Check, and Working Capital Peg Calculator (the "Tools"), and to every score, range, estimate, recommendation, and report they produce ("Outputs"). They form part of our Terms of Use. If they conflict with the Terms of Use on a matter concerning the Tools, these Diagnostic Tools Terms control.
The Tools are for reference only. You must not rely on any Output to make a decision. Do your own diligence and consult qualified advisers.
1. What the Tools Are
The Tools are automated self-assessment instruments provided free of charge. They are calibrated to general market data and TEOL Capital's frameworks, apply simplified models and general assumptions to the information you enter, and produce indicative, directional readings for your own reference. They provide general guidance only and can make mistakes.
2. What Outputs Are Not
No Output is:
- a valuation, appraisal, fairness opinion, or solvency opinion;
- a quality of earnings report, audit, review, or any form of assurance;
- a credit assessment, lending decision, or indication of whether any lender, investor, or buyer will act;
- an investment recommendation or advice to buy, sell, or hold any security or business;
- legal, tax, accounting, or regulatory advice; or
- the professional opinion of TEOL Capital or any of its personnel.
No TEOL Capital professional reviews Outputs unless we separately agree in writing to do so.
3. Limitations
Outputs are only as reliable as the information you enter, and TEOL Capital does not verify it. The Tools use generalized assumptions, multiples, ranges, weightings, and benchmarks that may not reflect your business, sector, size, geography, capital structure, or current market conditions. Market conditions change, and assumptions may be out of date. Outputs may be materially different from what a buyer, seller, lender, investor, appraiser, auditor, court, or regulator would conclude, and from the price or terms any transaction actually achieves. Recommended actions and estimated impacts are illustrative. They are not predictions or promises of any result.
4. Your Responsibility
You are solely responsible for how you use any Output. Before making any decision, including pricing, negotiating, financing, buying, selling, investing in, or reporting on a business, you must conduct your own independent investigation and diligence and obtain advice from qualified professionals, such as a credentialed valuation professional, a certified public accountant, an attorney, and, for securities transactions, a registered broker-dealer or investment adviser.
5. Internal Use Only; No Third-Party Reliance
Outputs are provided solely for your internal reference. They are not prepared for, and may not be relied upon by, any lender, investor, buyer, seller, board, court, government agency, or other third party. If you share an Output with anyone, you do so at your own risk, you must include the notices that appear on it, and you are responsible for any claim by a recipient, as set out in the indemnification section of our Terms of Use. You may not describe any Output as an opinion, valuation, or report of TEOL Capital, and you may not include an Output or the TEOL Capital name in any offering document, confidential information memorandum, lender package, marketing material, or regulatory filing without our prior written consent.
6. Your Inputs
Enter only information you are authorized to share. Do not enter material nonpublic information about any public company, confidential information belonging to a third party, personal information about other individuals, or the sensitive information listed in our Privacy Policy. We handle your inputs and Outputs as described in our Privacy Policy. We may use your inputs and Outputs to deliver your results, follow up with you, and operate and improve the Tools and our services, and in aggregated or de-identified form for any lawful purpose.
7. Notices on Outputs
Outputs, including downloadable reports, carry notices describing their limitations. You agree not to remove, obscure, or alter those notices.
8. Changes
We may change any Tool, including its methodology, assumptions, weightings, and scoring, or discontinue it at any time without notice. Outputs generated at different times may not be comparable.
9. Intellectual Property
The Tools, their underlying logic, models, scoring, and report formats are owned by TEOL Capital. You may use Outputs for your internal reference only. You may not scrape, copy, reverse engineer, or systematically query the Tools, use them to build a competing product, or use them or their Outputs to train or develop any artificial intelligence or machine learning model.
10. No Warranty; Limitation of Liability
THE TOOLS AND OUTPUTS ARE PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE. THE DISCLAIMERS, LIMITATIONS OF LIABILITY, INDEMNIFICATION, AND DISPUTE TERMS IN OUR TERMS OF USE APPLY IN FULL TO THE TOOLS AND OUTPUTS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE TEOL PARTIES FOR ALL CLAIMS RELATING TO THE TOOLS OR OUTPUTS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
